Welcome to Unique Business Systems Limited (UBSL). These Terms and Conditions outline the rules and regulations for the use of our website, as well as the terms governing the purchase of IT hardware, networking equipment, CCTV systems, and enterprise services from us.
By requesting a quotation, issuing a Purchase Order (PO), or signing a contract with UBSL, you (the "Client" or "Customer") accept these terms and conditions in full.
1. Introduction
Unique Business Systems Limited is a registered IT and Audio-Visual solutions provider in Bangladesh. We reserve the right to amend, update, or change these Terms and Conditions at any time without prior notice. The most current version will always be available on this page.
2. Products and Services
We provide enterprise-grade hardware (Servers, Workstations, Laptops), Surveillance Systems (CCTV, NVR, DVR), Networking Equipment (Routers, Switches, Firewalls), and Audio-Visual setup services.
- Specifications: All product descriptions, images, and specifications provided in our quotations or website are based on OEM (Original Equipment Manufacturer) data. UBSL is not responsible for minor variations in product aesthetics by the manufacturer.
- Availability: All quotations are subject to stock availability. In cases of global supply chain disruptions, alternative models of equal or higher specifications may be proposed.
3. Orders, Pricing, and Payment Terms
Given the B2B nature of our business, our ordering and payment processes are structured to accommodate corporate clients:
- Purchase Orders (PO): A formal Work Order (WO) or Purchase Order is required to initiate any corporate project or bulk hardware supply.
- Pricing & Taxes: Unless explicitly stated otherwise in the quotation, all prices are exclusive of VAT and Tax (AIT). Applicable VAT & TAX as per the Government of Bangladesh must be added or deducted at source (with provided challans) during payment.
- Advance Payment: For large infrastructure projects or specialized imported hardware, an advance payment of 40% to 60% may be required along with the Work Order.
- Credit Terms: Credit facilities are strictly subject to management approval and previously agreed-upon corporate contracts. Delay in payments beyond the agreed credit period may result in a suspension of post-sales support/SLA.
4. Delivery & Installation (Site Readiness)
UBSL takes pride in timely project execution. However, successful deployment requires cooperation from the client's end.
- Site Readiness: Before our engineers arrive for installation (e.g., CCTV setup, Server Rack mounting), the client must ensure the site is ready. This includes providing necessary power outlets, civil permissions, clearing debris, and ensuring safety.
- Delays: UBSL shall not be held liable for delivery or installation delays caused by "Force Majeure" (strikes, political unrest, natural disasters) or delays caused by the client's failure to prepare the site.
- Acceptance: Upon completion of delivery or installation, the client is required to sign a Delivery Challan or User Acceptance Testing (UAT) document.
5. Software, Firmware & Licensing
For any software, operating systems, or firmware provided along with our hardware:
The client acknowledges that UBSL is a distributor/integrator and does not own the intellectual property rights of third-party software (e.g., Microsoft Windows, Cisco IOS, Hikvision IVMS). The client must adhere to the End User License Agreement (EULA) of the respective OEM. UBSL strongly strictly prohibits and takes no responsibility for the use of pirated software on supplied hardware.
6. Limitation of Liability
While we strive for 100% uptime and perfection, technology is subject to unforeseen failures.
- Data Loss: Under no circumstances shall UBSL be held responsible for the loss, corruption, or compromise of any business data stored on servers, hard drives, or NVRs supplied or serviced by us. Data backup is solely the client's responsibility.
- Indirect Damages: UBSL will not be liable for any indirect, incidental, or consequential damages, including loss of profits, business interruptions, or loss of reputation arising from hardware failure, network downtime, or security breaches.
- Maximum Liability: In any legal event, UBSL's total liability shall not exceed the total amount paid by the client for the specific hardware or service in dispute.
7. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
Any disputes arising out of or in connection with these terms, or any business transaction with UBSL, shall first be attempted to be resolved amicably through mutual discussion. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in Dhaka, Bangladesh.
